Launch Of The Exclusive Collective And Acquisition Of Inspirato

Marking a realignment in the high-end travel sector, Exclusive Resorts Investments (“Exclusive Investments”) has announced the launch of The Exclusive Collective. This new parent entity is designed to serve as a multi-brand luxury travel and lifestyle platform, unifying three of the significant names in travel club membership and premium villas: Exclusive Resorts, onefinestay, and Inspirato.

Central to this launch is the agreement for Exclusive Investments to acquire Inspirato Incorporated (NASDAQ: ISPO) and take the company private.

Strategic Acquisition and Privatization of Inspirato

Under the terms of the agreement, Exclusive Investments will acquire all outstanding shares of Inspirato for $4.27 per share in an all-cash transaction, valuing the company at approximately $59 million. This price represents a 50% premium over the December 16, 2025, closing price. The transition to private ownership is a pivotal shift for Inspirato, which went public via a SPAC in 2022, and was subject to competing offers just a few months ago.

The move follows a period of stabilization led by Inspirato’s current Chairman and CEO, Payam Zamani. By moving away from the public markets, the brand gains the "capital stability and operational support" necessary for long-term execution without the volatility of quarterly public reporting. Upon the deal's expected closing in early 2026, Zamani will step down, and James Henderson, CEO of The Exclusive Collective, will serve as interim CEO.

Earlier this year, Exclusive also acquired "a controlling interest" in the luxury villa rental company onefinestay from the French hotel group Accor.

A Tiered Ecosystem for the Modern Traveler

The Exclusive Collective is structured to address the "evolving lifecycle" of the luxury traveler. It is built on the understanding that how people travel evolves over time, and the platform is structured to grow with its customers, supporting sustained relationships across life stages and travel styles within a single ecosystem.

The three brands will occupy distinct niches within this ecosystem, allowing clients to transition between services as their personal and family needs change:

Exclusive Resorts: The flagship brand, a members-only club dedicated to luxury travel and curated experiences. For more than two decades, Exclusive Resorts has offered its 4,000+ members access to a $1 billion portfolio of private residences, rare journeys, and global partners—all designed to support a richer, more meaningful way of living. The Club recently expanded into branded residential real estate, extending its signature approach to ownership and hospitality into the category.

Inspirato: A luxury travel subscription company serving more than 11,000 subscribers through a global portfolio of 300+ vacation homes, five-star hotel partners, and bespoke experiences.

onefinestay: Offering a curated portfolio of 3,000 private villas, chalets, and residences in flagship destinations including London, Paris, New York City, and Los Angeles. Each home is selected for its exceptional design and appeal to discerning travelers, supported by personal welcomes, 24/7 service, and tailored amenities. onefinestay is also a trusted partner to homeowners seeking professional home management and a secure way to list their properties.

Collectively, the brands will benefit from shared strengths in real estate management, as well as operating expertise, enabling scale and efficiency while preserving the independence, positioning, and character that define each business. For homeowners, developers, and strategic partners, The Exclusive Collective provides access to a concentrated, long-term audience - reaching more than 25,000 high-net-worth travelers through a single platform that supports relationships from first stay to long-term ownership, and every phase in between.

"At its core, The Exclusive Collective is about choice and continuity,” said James Henderson, CEO of The Exclusive Collective and Exclusive Resorts. “For more than two decades, we’ve watched how our members’ lives evolve—the way they travel in their forties often looks very different from how they travel later with grown children and friends. Some begin with the flexibility of a subscription, others move into private membership, and many continue to value the freedom to choose the perfect home, at the perfect moment, in the perfect place. The Collective reflects that reality. Bringing these brands together isn’t about getting bigger; it’s about being more useful, more relevant, and more attuned to people’s lives. It’s a business designed to grow with its customers, and a philosophy centered on how people choose to spend their most finite resource: time.”

Financial Strength and Leadership

The Exclusive Collective is backed by Steve Case, the co-founder of AOL and Chairman of Revolution, who has been a long-time investor in both Exclusive Resorts and Inspirato.

“By uniting these companies under The Exclusive Collective, we believe the combined platform will be well-positioned to help shape the next wave of innovation in luxury hospitality - one that aligns with shifting consumer expectations around flexibility, community, and personalized experiences,” said Steve Case.

The combined entity will have significant scale with anticipated 2026 revenues exceeding $500 million and approximately $70 million in EBITDA. The combined brands will serve over 25,000 travelers annually, leveraging shared expertise in real estate management and operations while maintaining each brand's independent identity.

Implications for Wealthy Travelers

For high-net-worth individuals and their families, this consolidation offers a streamlined approach to luxury travel. As James Henderson noted above, “it’s about being more useful” and supporting sustained relationships across life stages and travel styles with a selection of travel options.
