Competing Offers to Acquire Inspirato
Inspirato, (NASDAQ: ISPO), the luxury travel club known for its curated residences and subscription model, recently agreed to a reverse merger with Buyerlink. But just last week, Inspirato reported it had received an unsolicited proposal from Exclusive Investments to acquire the company for cash consideration of $3.15 per share, representing an aggregate transaction value of approximately $39 million.
Buyerlink Merger Proposal
In 2024, Inspirato announced a $10 million investment from One Planet Group and appointed One Planet founder Payam Zamani as CEO and Chairman of Inspirato’s Board of Directors. One Planet Group is the parent company of privately held Buyerlink.
Under the proposed stock-for-stock reverse merger transaction, the new, enlarged public entity would be named One Planet Platforms. The combined company, led by Payam Zamani, is projected to generate around $350 million in revenue and $30 million in adjusted EBITDA in 2025. “With Buyerlink’s proven technology and the integration of AI, we’re laying the foundation for a powerful platform that can scale high-performing marketplaces across a range of industries,” said Payam Zamani. On completion of this merger, One Planet Group would own approximately 91% of the combined company, with Inspirato’s current stockholders owning approximately 9%.
This merger would mark an evolution for Inspirato - transitioning from a traditional hospitality-based luxury club to a technology-first marketplace platform. Specifically, the merger presentation notes “Buyerlink’s platform and proptech capabilities, combined with Inspirato’s trusted brand name and hospitality expertise, will create a leading marketplace for global luxury travel and experiences.”
(Editorial Update: on 15th September, Inspirato and Buyerlink announced that they have mutually decided to end their merger agreement.)
“Although we believed the proposed merger with Buyerlink would have offered meaningful benefits, we also listened carefully to the perspectives of our shareholders,” said Ann Payne, Inspirato’s Lead Independent Director. “After thoughtful consideration, the Board determined that the best path forward is for Inspirato to continue as an independent company. We are proud of the progress we’ve made, confident in the strength of our brand and member community, and fully committed to creating long-term value for our shareholders. And, as always, we will continue to evaluate other strategic alternatives as appropriate to ensure we are maximizing value for our shareholders.”
Exclusive Resorts’ Offer
The alternative proposal from Exclusive Investments - the holding company of Exclusive Resorts (majority owned by Steve Case), a peer in luxury hospitality, offers to acquire Inspirato in an all-cash deal. Exclusive Resorts has already raised external capital to position itself for selective strategic opportunities.
If this offer is accepted, Exclusive Investments says that Inspirato would be integrated alongside Exclusive Resorts, a members-only vacation club, and onefinestay, a villa rental platform in which Exclusive recently acquired a controlling interest from Accor. Exclusive notes: “Together, the three brands would create a platform that could define the future of how affluent families travel.”
According to a Schedule 13D/A filed with the SEC on Sept 6th, the Handler brothers - original founders of both Exclusive Resorts & Inspirato - indicated their support for Exclusive Investments’ proposal. In the filing, they stated that they “believe the Issuer should pursue” the offer from Exclusive Investments.
Inspirato says in a filing that a Special Committee of independent directors of the Inspirato Board of Directors is carefully reviewing the Exclusive Proposal in consultation with its legal and financial advisors. But adds “Inspirato remains subject to the terms of the Merger Agreement with Buyerlink, and the Inspirato Board of Directors has not changed its recommendation in support of the Buyerlink Transaction.”
